Terms of Service
Last updated: October 22, 2026
In short: PreBuilt Profit is business software for Shopify merchants. You pay monthly, can cancel at any time from your Billing page, and stay responsible for your store, products, prices and customers. Automation and AI help you work faster but don't replace your own review, and no particular sales or profit result is promised.
Please read section 18 carefully. It requires most disputes to be resolved by binding individual arbitration, waives class actions and jury trials, and explains how to opt out within 30 days.
1. Who we are and what these terms cover
These Terms of Service ("Terms") are an agreement between you and PreBuilt Profit LLC ("we", "us", "our"), which operates the PreBuilt Profit service, including the website, web application, integrations and related support (together, the "Service").
By creating an account, purchasing a plan or using the Service, you agree to these Terms and to our Privacy Policy, Refund & Cancellation Policy, Disclaimer and Earnings Disclaimer, which form part of these Terms. If you use the Service on behalf of a business, you confirm you are authorised to bind that business, and "you" means that business.
2. Eligibility and accounts
- The Service is for business use. By using it you confirm that you are acting for the purposes of your trade or business, not as a consumer. You must be at least 18 years old and able to enter into a binding contract.
- You may not use the Service if you are located in, or are a resident of, a country subject to US trade sanctions, or if you are on a US government list of restricted parties.
- Provide accurate account information and keep it up to date.
- Keep your password confidential. You are responsible for activity under your account, including activity by team members you invite.
- Tell us promptly at support@prebuiltprofit.com if you suspect unauthorised access.
3. The Service
PreBuilt Profit helps you run a Shopify store: connecting stores, importing and publishing products, routing orders to suppliers, syncing inventory and prices, tracking profit, and AI-assisted tools. Features and limits depend on your plan as described on our pricing page.
We may improve, change or discontinue features over time. If we remove a core feature of a paid plan, we will give reasonable notice where practical. Features labelled as beta, preview or experimental are provided as they are, may change or be withdrawn at any time, and are excluded from any commitment in these Terms.
4. Plans, billing and renewal
- Subscription. Plans are billed monthly in US dollars, in advance, and renew automatically each month until cancelled. By purchasing a plan you authorise our payment partner to charge the plan price at purchase and on each monthly renewal until you cancel.
- Fees are non-refundable except as set out in our Refund & Cancellation Policy (including our money-back guarantee) or where the law requires a refund.
- Payment partner. Payments are processed by our payment partner (currently Explodely), which is the retailer for purchases on this site. Their terms apply to the payment itself. We do not see or store your full card details. See our Explodely Disclaimer.
- Price changes. We may change plan prices for future billing periods. We will notify you before a change applies to your subscription.
- Taxes. Prices may not include taxes that apply in your location; you are responsible for them where required.
- Plan limits. Each plan includes limits (for example stores, active products, automated orders, AI actions and seats). Reaching a limit pauses new additions or further automation until the next month or an upgrade. It does not delete your data.
- Cancellation and refunds are covered by our Refund & Cancellation Policy.
5. Connected services (Shopify, suppliers and others)
The Service works with third-party platforms you choose to connect, such as Shopify, CJ Dropshipping, DSers/AliExpress, advertising platforms and email providers. You authorise us to access and act on those accounts as needed to provide the features you use (for example, publishing products, reading orders, placing supplier orders you have enabled and adding tracking information).
- Your use of each platform is governed by that platform's own terms. You are responsible for complying with them.
- We are not affiliated with, endorsed by or responsible for these platforms, their availability, their data or changes to their APIs. Shopify is a trademark of Shopify Inc.
- Supplier orders are placed through your own supplier accounts. Supplier pricing, stock, shipping times, product quality and fulfilment are the supplier's responsibility, and disputes with suppliers are between you and the supplier.
- Some workflows require your action in another platform. For example, orders handed to DSers must be approved by you in DSers.
- We are not responsible for actions a third party takes against you or your accounts, such as Shopify suspending or closing your store, a supplier cancelling orders or changing prices, an advertising platform restricting your account, or a platform changing or withdrawing its API.
6. Automation and AI features
- Automation acts on the settings and rules you configure (for example minimum margins, routing and fraud thresholds). Review your settings before enabling automation.
- AI features (such as product descriptions, SEO drafts, price suggestions and support-reply drafts) can produce inaccurate, incomplete or unsuitable output. Review AI output before you rely on or publish it. You are responsible for content you publish or send to your customers.
- AI usage is included within your plan's monthly allowance. AI features may be temporarily unavailable; when they are, the rest of the Service continues to work.
- Data from supplier platforms (prices, stock, delivery times, product data) can be delayed or wrong. We do not guarantee its accuracy.
- You remain solely responsible for the business decisions made with the Service, including the prices published to your store, the products you sell and the orders placed or not placed with your suppliers. Automation and AI are tools that act on your instructions; they are not advice and they do not transfer responsibility for those decisions to us.
7. Your responsibilities
You are responsible for your store and business, including:
- the products you sell, their descriptions, images, safety, legality and intellectual-property rights;
- your prices, discounts, shipping promises, refunds and customer service;
- compliance with consumer-protection, advertising, privacy, email-marketing, tax and import/export laws that apply to you;
- having a lawful basis and the required notices or consents for the customer data you process through the Service, including for marketing emails;
- the accuracy of the settings, credentials and information you provide;
- keeping your own copies of business-critical data. Your Shopify store remains your system of record, and you can export reports from the Service.
8. Acceptable use
You must not use the Service to:
- sell illegal, counterfeit, infringing or dangerous products, or mislead consumers;
- send spam or marketing email without the consent the law requires;
- access accounts, stores or data you are not authorised to use;
- probe, scan, overload or disrupt the Service, or bypass its limits or security;
- reverse-engineer, resell or copy the Service, except where the law allows it;
- violate the terms of any connected platform.
We may suspend or restrict accounts that break these rules or put the Service, other users or third parties at risk.
9. Your data and our rights
You keep ownership of the data you bring into the Service (store, product, order and customer data). You grant us the rights we need to host, process and display it to provide the Service, as described in our Privacy Policy. For your customers' personal data, you are the controller and we process it on your behalf.
We own the Service, including its software, design and branding. These Terms do not give you any rights to them beyond using the Service. If you send us feedback, we may use it without obligation.
10. Availability and support
We aim to keep the Service available and reliable, but it is provided without a guaranteed uptime or service level. Maintenance, third-party outages or events outside our control may interrupt it. Support is provided by email at support@prebuiltprofit.com.
11. Suspension and termination
- You may stop using the Service and cancel your subscription at any time.
- We may suspend all or part of your access immediately, with or without notice, if: a payment fails or is reversed; a chargeback or payment dispute is opened; we reasonably believe your use breaches these Terms, creates a security, legal or financial risk, or could harm the Service, other users or third parties; or we are required to by law or by a connected platform.
- We may terminate your account if you materially breach these Terms and, where the breach can be fixed, you don't fix it within 7 days of our notice. We may also end the Service or your account for any other reason by giving you at least 30 days' notice, in which case we will refund any fees you prepaid for the period after termination.
- When access ends, automation stops. You can ask us to export or delete your data; see the Privacy Policy. We may delete account data a reasonable time after termination.
- Sections that by their nature should continue after termination (including sections 7, 9 and 12 to 19) survive it.
12. Disclaimer of warranties
To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, accuracy, quiet enjoyment and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure or error-free; that prices, margins, profit figures, stock levels, fraud scores or AI output will be accurate or complete; that data will not be lost; or that the Service will meet your requirements. We do not promise any level of sales, revenue or profit. See our Disclaimer and Earnings Disclaimer.
We are not a party to any transaction between you and your customers, suppliers or other third parties, and we are not responsible for their acts or omissions.
13. Limitation of liability
To the fullest extent permitted by law, we and our officers, members, employees, contractors and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, sales, business, goodwill, data or advertising spend, however caused and whether in contract, tort (including negligence), strict liability or otherwise, even if we were told such damages were possible.
Without limiting the paragraph above, we are not liable for losses arising from: prices, discounts or margins published to your store; orders placed, not placed, duplicated or delayed with suppliers; supplier, carrier or platform failures; suspension or closure of your accounts by Shopify or any other platform; AI-generated content or suggestions; fraud that was not detected or orders that were flagged; or access to your accounts through credentials or team members you control.
Our total liability for all claims relating to the Service or these Terms is limited to the amount you paid us for the Service in the three months before the event giving rise to the first claim. These limits apply even if a limited remedy fails of its essential purpose, and they are an essential basis of the bargain between you and us: our prices reflect them.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, or any rights you have that cannot be waived by contract.
14. Indemnity
You agree to defend, indemnify and hold harmless PreBuilt Profit LLC and its officers, members, employees and contractors from and against all claims, demands, losses, damages, penalties, costs and expenses (including reasonable legal fees) arising out of or related to: your store, products, prices, advertising and content; your dealings with your customers and suppliers, including refunds, chargebacks and product claims; your use of the Service or of connected platforms; your breach of these Terms; or your violation of any law or third-party right. We may take control of the defence of any claim at your expense, and you will cooperate with us. You may not settle a claim that affects us without our written consent.
15. Events outside our control
We are not responsible for any delay or failure to perform caused by events beyond our reasonable control, including outages or changes at Shopify, suppliers, hosting, payment or internet providers; changes to third-party APIs; cyber-attacks; power failures; natural disasters; epidemics; war, terrorism or civil unrest; labour disputes; and acts of government.
16. Changes to these terms
We may update these Terms. If a change is material, we will notify you by email or in the Service before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms. If you don't agree, cancel before the change takes effect. Changes to section 18 do not apply to a dispute we already knew about before the change.
17. Governing law
These Terms and any dispute relating to the Service are governed by the laws of the State of Wyoming, USA and applicable US federal law, including the Federal Arbitration Act, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
18. Dispute resolution: arbitration and class-action waiver
- Talk to us first. Before starting any claim, you agree to email support@prebuiltprofit.com with a description of the dispute and what you want. Both sides will try in good faith to resolve it within 30 days.
- Binding arbitration. If it isn't resolved, any dispute, claim or controversy arising out of or relating to the Service or these Terms will be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. The arbitration will be seated in the State of Wyoming, USA, conducted in English, and may be held by video conference or on written submissions. Judgment on the award may be entered in any court with jurisdiction.
- Exceptions. Either party may bring an individual claim in small-claims court if it qualifies, and either party may ask a court for an injunction to protect its intellectual property or to stop unauthorised access to the Service.
- No class actions. Disputes will be resolved only on an individual basis. You and we each waive the right to bring or take part in any class, collective, consolidated or representative action or arbitration.
- No jury trial. To the extent any dispute is heard in court, you and we each waive the right to a jury trial.
- Time limit. Any claim must be brought within one year after it arises, or it is permanently barred, unless the law requires a longer period.
- Courts. If arbitration does not apply or this section is found unenforceable for a dispute, that dispute will be heard exclusively in the state or federal courts located in the State of Wyoming, USA, and both parties consent to their jurisdiction.
- Opting out. You may opt out of arbitration and the class-action waiver by emailing support@prebuiltprofit.com within 30 days of first accepting these Terms, with your name, account email and a clear statement that you opt out. Opting out does not affect the rest of these Terms.
- If the class-action waiver is found unenforceable for a dispute, the arbitration agreement does not apply to that dispute.
19. General
- Entire agreement. These Terms, together with the policies they refer to, are the entire agreement between you and us about the Service and replace any earlier statements, including statements by affiliates.
- Severability. If any part of these Terms is found unenforceable, it will be enforced to the maximum extent permitted and the rest remains in effect.
- No waiver. Our failure or delay in enforcing a provision is not a waiver of it.
- Assignment. You may not transfer your account or these Terms without our written consent. We may transfer them as part of a merger, reorganisation or sale of the business.
- Notices. We may send notices to the email address on your account or show them in the Service. You agree to receive communications electronically, and that they satisfy any legal requirement for written notice. Send notices to us at support@prebuiltprofit.com.
- Relationship. You and we are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, fiduciary or employment relationship.
- Language. These Terms are written in English. If they are translated, the English version prevails.
